Terms of Service

Last updated: 18 October 2026

All services of Aegiron Capital Group Ltd are exclusively for business customers (traders within the meaning of Art. 2(2) of Directive 2011/83/EU). Consumers within the meaning of Art. 2(1) of Directive 2011/83/EU are excluded from contract formation. The Cyprus Consumer Protection Law (Law 112(I)/2021) does not apply as no consumer contracts are concluded. These Terms of Service govern the use of all services and products offered by Aegiron Capital Group Ltd. By engaging our services or purchasing our products, you agree to these terms. They also apply to the free use of the demos, tools, samples, and sample issues on our website and at the associated demo addresses (Section 8); where a consumer uses them, the mandatory consumer protection provisions of the country of the consumer's habitual residence remain unaffected.

1. Scope of Services

Aegiron Capital Group Ltd provides the following services and products: go-to-market and Closing-as-a-Service (including the Go-to-Market Sprint and the Closing Pilot), strategic consulting on market entry and regulatory orientation, software development (Coding), AI advisory, commercial due diligence, regulatory intelligence (subscription with access to our customer portal “Regulatory Intelligence Portal”), DACH Expansion Network partner referrals, and digital products (DACH Market Entry Playbook). The specific scope and deliverables of each engagement are defined in the respective service agreement or product description.

2. Subscriptions (Regulatory Intelligence)

  • •The Regulatory Intelligence subscription is exclusively for traders within the meaning of Art. 2(2) of Directive 2011/83/EU (a natural or legal person acting for purposes relating to their trade, business, craft, or profession). Consumers within the meaning of Art. 2(1) of Directive 2011/83/EU are excluded from contract formation.
  • •Service: The subscription comprises personal access to our customer portal, the “Regulatory Intelligence Portal” by Aegiron Capital Group (portal.aegironcapitalgroup.com), for one person in your company. There we provide updates on publications of the authorities and bodies listed on the subscription page, summarised, classified, and selected according to the profile you enter in the portal. The sources are retrieved daily; we editorially review every update before it appears. We do not commit to a particular time of publication, a particular number of updates, or complete coverage of all publications relevant to you. We may develop the portal further and replace or add individual sources, provided that the core of the service is preserved.
  • •Content: Summaries and classifications are prepared with the assistance of an AI service and editorially reviewed before publication. They point to publications of the sources; the wording of the linked source always prevails. Aegiron Capital Group Ltd does not guarantee the completeness or accuracy of the information provided. The Regulatory Intelligence service does not constitute legal advice. Liability is governed by Section 8.
  • •Access: After our order confirmation, we send a personal access code to the email address provided with the order. With it, the authorised person registers with their business email address, their own password, and two-factor authentication via an authenticator app. The login details are personal and may not be passed on or shared. If the authorised person changes, we set up new access when you tell us; access for further persons is agreed separately. Keep your password, recovery codes, and the device used for two-factor authentication secret, and inform us without undue delay if you suspect misuse.
  • •Sessions and suspension: At most two sign-ins per access can be active at the same time; a further sign-in ends the oldest one. If there are indications that login details are being passed on or misused, we may suspend access temporarily. We will inform you and lift the suspension if the suspicion is not confirmed; if it is confirmed, we may terminate the subscription with immediate effect. After repeated failed sign-in attempts, the portal locks access automatically for protection; we lift the lock when you contact us.
  • •Availability: We operate the portal with due care but do not commit to any particular availability. Maintenance and disruptions at our hosting provider or at the sources may temporarily restrict access or updates; sources may reject retrievals or change what they offer.
  • •Billing and cancellation: Subscriptions are billed monthly by invoice; we agree the payment method (bank transfer or card) with you when you order. Each billing period is one month from the start date stated in the order confirmation. Either party may cancel the subscription at any time on 30 days' notice; the cancellation takes effect at the end of the billing period in which the notice period expires. There is no minimum term. You may cancel by email to legal@aegironcapital.com; we cancel by email to the address provided with the order. If an invoice is more than 30 days overdue, we may suspend access until it is settled.
  • •End of access: Access to the portal ends when the subscription ends. The account is then kept, locked, for 30 days so that we can reactivate it if the subscription is renewed, and is then deleted together with the company profile and bookmarks. Details of data processing in the portal are set out in Section 2.4 of the Privacy Policy.
  • •Use of content: All content delivered through the Regulatory Intelligence service is intended for the subscriber's internal use only and may not be redistributed, resold, or published without prior written consent from Aegiron Capital Group Ltd.
  • •Order: Section 3 applies accordingly to the order, the check of company details, and declined orders.

3. Digital Products (DACH Market Entry Playbook)

  • •The DACH Market Entry Playbook is a one-time purchase. Due to the digital nature of the product, refunds are excluded after delivery.
  • •Order and delivery: You order by inquiry through our contact form or by email and give us your company name, address, and VAT ID (businesses outside the EU: company registration or tax number). We check these details and confirm the order by email; the contract is concluded with our order confirmation, and you receive the invoice. We deliver by email to the address provided with the order within one business day after payment has been received. Business days are Monday to Friday, excluding public holidays in the Republic of Cyprus.
  • •Declined orders: We may decline an order (Section 7), for example because the buyer is a consumer or the details cannot be confirmed. If a payment reaches us without a confirmed order, we refund it in full within 14 days.
  • •The rights of use in the package are set out in Section 10.
  • •Updates on material regulatory changes are included in the purchase price for 24 months from the purchase date; the purchase date is the date of our order confirmation. The commitment covers the documents of the package (Playbook, checklists and templates, practice kits). We deliver revised editions to the email address provided with the order; you may give us a different address by email at any time. Aegiron Capital Group Ltd decides at its reasonable discretion whether a change is material and when a revised edition is issued; there is no entitlement to a particular number of updates. After this period, Aegiron Capital Group Ltd may offer further updates as a separate service.

4. Engagements: Consulting, Closing, Due Diligence, Software Development, and AI Advisory

  • •The services described in this section are exclusively for traders within the meaning of Art. 2(2) of Directive 2011/83/EU (a natural or legal person acting for purposes relating to their trade, business, craft, or profession). Consumers within the meaning of Art. 2(1) of Directive 2011/83/EU are excluded from contract formation. The right of withdrawal does not apply.
  • •All engagements — consulting, Closing-as-a-Service (including the Go-to-Market Sprint and the Closing Pilot), due diligence, software development, and AI advisory — are governed by individual engagement agreements between Aegiron Capital Group Ltd and the client. The fixed price for the Go-to-Market Sprint stated on the website applies to the scope described there for as long as it is published; if the scope requested differs, the proposal states the price for it. All other prices stated on the website for engagements (“from” prices and ranges) are indicative and non-binding. In each case, the price in the accepted proposal is binding.
  • •Mutual confidentiality obligations apply to both parties for the duration of the engagement and beyond, as specified in the engagement agreement.
  • •The liability of Aegiron Capital Group Ltd is limited to the total fee of the engagement giving rise to the claim. This does not apply to liability for fraud, wilful misconduct, or gross negligence, for death or personal injury, or to any liability that cannot be limited under applicable law.
  • •The services provided by Aegiron Capital Group Ltd do not constitute legal advice, and Aegiron Capital Group Ltd does not represent clients before authorities or courts. Clients engage a licensed law firm of their choice for legal review and representation.
  • •Closing-as-a-Service: Aegiron Capital Group Ltd provides the agreed services and deliverables (for example the target-account list, outreach, and the conduct of meetings and negotiations) with reasonable skill and care. It does not promise any particular sales result, in particular the conclusion of contracts with target customers or partners. It acts visibly on the client’s behalf towards target customers and negotiates within the client’s instructions, but has no authority to bind the client: the client approves offers, prices, and contract terms and signs all contracts itself. Anything else applies only where the engagement agreement expressly says so.
  • •Commercial due diligence: The report is a commercial assessment based on the documents and information provided, the interviews conducted, and publicly available information; Aegiron Capital Group Ltd does not verify their accuracy. It is not a legal, tax, or financial audit, not a legal opinion, and not investment advice; the investment decision is made by the client. The report is intended for the client, which may make it available to its governing bodies, affiliates, and advisers who are bound by confidentiality. Any other disclosure requires the prior written consent of Aegiron Capital Group Ltd (email suffices). Third parties may not rely on the report; Aegiron Capital Group Ltd accepts no liability towards them. Section 10 otherwise remains unaffected.
  • •No personal liability: Engagements are carried out through Aegiron Capital Group Ltd as a corporate entity. The client will not pursue personal claims against individual staff members or officers, except in the case of their own fraud or wilful misconduct.

5. DACH Expansion Network (Partner Referrals)

  • •Aegiron Capital Group Ltd acts solely as an introducer between clients and third-party service providers. Aegiron Capital Group Ltd is not a party to any contracts concluded between clients and referred partners.
  • •Before an introduction, Aegiron Capital Group Ltd checks the criteria stated on the website on the basis of the partner's information and public registers as at the time of the introduction. It gives no warranty for the partner's performance, quality, or results, or for the continued accuracy of that information; the choice of partner is the client's.
  • •Client data is shared with referred partners only with the client's explicit consent for each individual referral, as described in our Privacy Policy (Section 2.5).
  • •The referral is free of charge for the client. Aegiron Capital Group Ltd accepts no compensation from lawyers, tax advisers, or other professionals whose professional rules prohibit referral fees. If a referral fee has been agreed with another network partner, it informs the client of this, including the order of magnitude, before the client engages that partner. Such arrangements do not affect the impartiality of recommendations made to clients.

6. General Provisions

  • •Cyprus law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  • •The courts of Cyprus shall have jurisdiction for all disputes arising out of or in connection with these terms.
  • •Aegiron Capital Group Ltd may amend these Terms of Service with effect for the future. Changes that increase your obligations or restrict your rights take effect only with your express consent. Other changes — in particular clarifications, editorial adjustments, and corrections that do not alter the rights and obligations of the parties — will be notified to clients and subscribers at least 30 days before they take effect; if you do not object within this period, they are deemed accepted. For ongoing engagements, the respective engagement agreement takes precedence. Contracts concluded before the date of this version remain subject to the version valid when they were concluded until an amendment has taken effect under this Section.
  • •These terms are exclusively for business customers. Consumer contracts are not concluded.

7. Right to Accept or Decline Engagements

Aegiron Capital Group Ltd reserves the unconditional right to accept or decline any prospective client or engagement at its sole discretion, without obligation to provide reasons. No inquiry, consultation request, or initial contact creates an obligation to enter into a contractual relationship. This applies to all services offered, including but not limited to consulting, subscriptions, digital products, and referral services.

8. Limitation of Liability for Information Services, Digital Products, Free Demos & Samples

The information, analyses, reports, and materials provided through our Regulatory Intelligence service, DACH Market Entry Playbook, and any other non-individualised services are provided “as is” for general informational purposes only. They do not constitute legal, tax, financial, or regulatory advice. Even where content is selected and prioritised according to a profile stated by the customer (for example licence type or business model), it remains general information and does not replace a review of the individual case. Aegiron Capital Group Ltd expressly disclaims all liability for any direct, indirect, incidental, or consequential damages, losses, or costs arising from or related to: (a) reliance on information contained in reports, publications, or digital products; (b) business decisions made on the basis of such information; (c) inaccuracies, omissions, or delays in the information provided; (d) regulatory changes occurring after publication. Recipients are solely responsible for evaluating the applicability of any information to their specific circumstances and are strongly advised to seek independent professional advice before making business or regulatory decisions. To the extent liability is not excluded under the foregoing, it is limited in amount: for the subscription, to the fees paid in the twelve (12) months preceding the event giving rise to the claim; for the Playbook, to the purchase price paid.

Free demos, tools, and samples: The demo applications (live demos of the “Coding as a Service” page, also at their own addresses) are our own demonstration projects provided for illustration and are not intended for production use. The interactive tools give general, editorial orientation as of the date stated and do not assess any individual case. Samples and sample issues show the structure and content of our products as of the date stated and are not updated. Demos, tools, samples, and sample issues are provided free of charge and “as is”, without warranty as to availability, accuracy, completeness, or fitness for a particular purpose. Results shown may be incomplete or incorrect and do not replace your own review. Aegiron Capital Group Ltd accepts no liability for damage arising from the use of these demos, tools, and samples, except as set out in the following paragraph.

The foregoing limitations do not apply to: (a) liability for fraud or wilful misconduct; (b) liability for gross negligence; (c) liability for death or personal injury caused by negligence; (d) any liability that cannot be excluded or limited under applicable law.

9. Right of Withdrawal

As all services are exclusively for business customers, no statutory right of withdrawal applies. For subscription cancellation, the terms in Section 2 apply.

10. Intellectual Property

  • •Deliverables from engagements: Intellectual property in bespoke deliverables, including the source code in software development engagements, transfers to the client upon full payment of the applicable fees. Where a transfer is not possible under the applicable law, the client instead receives, upon full payment, the exclusive, transferable, and sublicensable right of use, unlimited in time, territory, and scope. Open-source and third-party components remain subject to their own licence terms.
  • •Aegiron retains: Pre-existing methodologies, frameworks, templates, and anonymised insights developed prior to or independently of the engagement remain the intellectual property of Aegiron Capital Group Ltd.
  • •DACH Market Entry Playbook (including the accompanying checklists, templates, and practice kits): The purchase grants the purchasing company a non-exclusive, non-transferable licence for internal business use. The purchaser's staff may use the documents for its purposes and copy them for that use. Templates, checklists, and sample wording may be adapted and used in the purchaser's own documents, including documents sent to authorities, customers, and service providers. Excerpts may be shared with the purchaser's advisers. Otherwise, disclosure to third parties, sublicensing, resale, and publication require the prior written consent of Aegiron Capital Group Ltd.
  • •Regulatory Intelligence: The rights in the content we create, in particular summaries and classifications, remain with Aegiron Capital Group Ltd; titles and texts of the sources belong to the respective bodies. Subscribers receive a non-exclusive licence for internal use only. Redistribution is prohibited.

11. Confidentiality

  • •Definition: Confidential information includes all non-public information disclosed in connection with any engagement or its preparation between Aegiron Capital Group Ltd and the client.
  • •Exclusions: This obligation does not apply to information that is publicly available through no fault of the receiving party, independently known to the receiving party prior to disclosure, or required to be disclosed by law or regulatory authority.
  • •Mutual obligation: Neither party discloses confidential information to third parties. This does not apply to personnel, advisers (for example the client's law firm), and service providers (for example IT and cloud providers; for Aegiron Capital Group Ltd those named in Section 3 of the Privacy Policy), to the extent they need the information for the engagement and are bound by confidentiality.
  • •Survival: Confidentiality obligations survive for 3 years after termination of the engagement, and indefinitely for trade secrets.
  • •Remedies: Breach of confidentiality may cause irreparable harm. The non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies available at law or equity.

12. Severability

Should any provision of these Terms be or become invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.

13. Force Majeure

Aegiron Capital Group Ltd shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, orders of authorities or changes in law that prohibit the service or make it impossible, illness or unavailability of a key person, infrastructure failures, or disruptions to third-party services. In such events, Aegiron Capital Group Ltd will make reasonable efforts to resume performance as soon as practicable and will notify affected clients without undue delay.
